Item 8.01. Other Events.

On June 17, 2021, AutoZone, Inc. (the “Company”) announced the following changes to the AutoZone Executive Committee: (i) Philip B. Daniele, currently Senior Vice President, Commercial, has been promoted to the position of Executive Vice President, Merchandising, Marketing and Supply Chain; (ii) Preston B. Frazer, currently Senior Vice President, Store Operations, has been promoted to the position of Executive Vice President, Store Operations, Commercial and Loss Prevention; (iii) Thomas B. Newbern, currently, Executive Vice President, Store Operations, Commercial, Loss Prevention and ALLDATA, has been appointed to the position of Executive Vice President, International, Information Technology and ALLDATA; and (iv) Mark A. Finestone, currently Executive Vice President, Merchandising, Marketing and Supply Chain, has been appointed to the position of Executive Vice President, Strategy and Innovation. Changes to officer compensation due to promotions are consistent with the Company’s compensation practices for its executive officers as described in the Company’s proxy statement filed with the Securities and Exchange Commission on October 26, 2020. A copy of the press release is attached hereto as Exhibit 99.1.

AutoZone Announces Organization Changes

MEMPHIS, Tenn., June 17, 2021 (GLOBE NEWSWIRE) -- AutoZone, Inc. (NYSE: AZO), today announced changes to the organization. Phil Daniele, a twenty-seven year AutoZoner, currently Senior Vice President, Commercial, has been promoted to Executive Vice President, Merchandising, Marketing, and Supply Chain.   Preston Frazer, a fourteen year AutoZoner, currently Senior Vice President, Store Operations, has been promoted to Executive Vice President, Store Operations, Commercial and Loss Prevention.

Additionally, Tom Newbern, a thirty-seven year AutoZoner, will now serve as Executive Vice President, International, Information Technology and ALLDATA. Mark Finestone, an eighteen year AutoZoner, will now serve as Executive Vice President, Strategy and Innovation.
