Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 2, 2022, AutoZone, Inc. (the “Company”) announced that Seong K. Ohm will be leaving the Company, effective October 31, 2022. Ms. Ohm shall be paid her current base salary for a period of 18 months, subject to the execution and non-revocation of a customary release of claims. Ms. Ohm will also receive a bonus for the 2022 fiscal year at the time such bonuses are paid. If Ms. Ohm elects COBRA coverage, she will be paid an additional amount sufficient to cover the difference between her current premium payments for group health insurance and the premium payments pursuant to COBRA during the 18-month period. Ms. Ohm has also agreed to not compete with AutoZone or hire any AutoZone employee during the 18-month period following separation.
